1. Acceptance of Terms

• AI-Powered Coaching: Suggestions for measurable key results based on your objectives
• Data Warehouse Integration: Read-only connections to Snowflake, BigQuery, PostgreSQL, and DuckDB
• Slack Integration: Conversational interface for OKR management within Slack
• Metric Tracking: Automated retrieval and visualization of key result metrics
• Team Collaboration: Shared goal tracking and progress updates

OKR Agent is provided as a cloud-based service. You are responsible for maintaining internet access and compatible devices to use the service.

3. User Accounts & Security

Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You are responsible for all activities that occur under your account

Slack Installation

• OKR Agent requires installation to your Slack workspace
• Installation grants OKR Agent permission to access specified channels and information
• You must have authorization to install third-party apps to your workspace
• Workspace administrators may revoke OKR Agent's access at any time

4. User Responsibilities

As a condition of using OKR Agent, you agree to:

• Provide Accurate Information: Ensure all data provided to OKR Agent is accurate and up-to-date
• Use Lawfully: Comply with all applicable laws and regulations when using OKR Agent
• Respect Intellectual Property: Not infringe on the rights of others
• Maintain Security: Protect your account credentials and data warehouse credentials
• Authorized Access: Only provide data warehouse credentials for databases you are authorized to access
• No Circumvention: Not attempt to circumvent usage limits, security measures, or service restrictions
• No Misuse: Not use OKR Agent for harassment, spam, or any harmful purpose

5. Payment Terms

Subscription Fees

OKR Agent is offered as a subscription service with tiered pricing. See our pricing page for current rates.

Payment Methods

Payments are processed through [PAYMENT_PROVIDER]. By providing payment information, you represent that you are authorized to use the payment method.

Billing Cycle

• Subscriptions are billed monthly or annually, as selected during signup
• Annual subscriptions are billed in full at the start of the billing period
• Prices are exclusive of applicable taxes unless stated otherwise

Refund Policy

• Monthly Plans: No refunds for partial months. You may cancel at any time, and service will continue until the end of the current billing period.
• Annual Plans: 30-day money-back guarantee. After 30 days, no refunds for the remaining term.
• Service Credits: Credits may be issued for significant outages per our Service Level Agreement.

Late Payments

• Payments are due on the billing date
• Failed payments may result in service suspension
• We reserve the right to charge late fees for overdue payments
• Reactivation requires payment of all outstanding amounts

Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel auto-renewal from your account settings at any time.

6. Fair Usage Policy

To ensure fair access for all customers, OKR Agent includes usage limits by subscription tier. These limits are designed to accommodate normal usage patterns.

Usage Limit Enforcement

• When limits are reached, you will receive a notification via Slack
• Additional usage may be available by upgrading your plan or purchasing overage credits
• Intentional circumvention of usage limits may result in account suspension or termination
• Enterprise customers receive custom limits as defined in their service agreement

What Counts as Usage

• AI Coaching Calls: Each request for OKR coaching suggestions counts as one call
• Slack Messages: Messages processed in channels where OKR Agent is a member
• Active Key Results: Total number of non-deleted key results in your workspace
• Data Refresh: Automated or manual queries to your data warehouse

7. Data & Privacy

Your use of OKR Agent is also governed by our Privacy Policy and, for B2B customers, our Data Processing Agreement. Key principles:

• You Own Your Data: You retain all rights to data you provide to OKR Agent
• Read-Only Access: OKR Agent never modifies, deletes, or writes to your data warehouse
• Data Security: We implement industry-standard security measures to protect your data
• GDPR Rights: You have the right to access, correct, or delete your personal data

8. Intellectual Property

Our Intellectual Property

OKR Agent and all related content, features, and functionality are owned by [COMPANY_NAME] and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute OKR Agent code or design
• Use OKR Agent trademarks without our written permission

If you provide feedback, suggestions, or ideas about OKR Agent, you grant us a perpetual, royalty-free license to use that feedback to improve our service. We will not use your feedback in a way that reveals your identity without permission.

9. AI-Generated Content

Advisory Nature Only

• OKR Agent provides suggestions and recommendations using AI technology
• AI-generated content is for informational and advisory purposes only
• You are solely responsible for decisions made based on AI suggestions
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content

No Professional Advice

OKR Agent does not provide legal, financial, or business consulting advice. Consult qualified professionals for specific advice.

Your Responsibility

• All AI suggestions require your explicit approval before being saved or implemented
• You must review and validate AI-generated key results for your specific context
• We are not liable for business decisions made based on AI-generated content

10. Service Availability & SLA

Our service level commitments vary by subscription tier. For details, see our Service Level Agreement.

• Scheduled Maintenance: We may perform maintenance during predefined windows with 7-day notice
• Emergency Maintenance: Critical security updates may be performed without advance notice
• Service Credits: Credits may be issued for outages exceeding our SLA commitments

11. Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO OKR AGENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR OKR AGENT IN THE 12 MONTHS PRECEDING THE CLAIM.

Excluded Damages

IN NO EVENT SHALL [COMPANY_NAME] BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, or business opportunities
• Data loss or corruption (beyond our backup commitments)
• Business interruption

12. Indemnification

• You may request immediate data export upon termination
• No refunds for partial months, except as required by law

Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• You attempt to circumvent security or usage limits
• Your payment is past due
• We discontinue OKR Agent (with 90-day notice)

Effect of Termination

• Your right to use OKR Agent ends immediately
• These Terms survive termination for: indemnification, liability limits, and disclaimers
• We will delete your personal data within 30 days per our Privacy Policy

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Germany. Any disputes shall be resolved in the courts of [COURT_CITY], Germany.

For cross-border disputes, EU regulations may apply regarding jurisdiction.

15. Dispute Resolution

Informal Resolution
